1. Acceptance of Terms

By accessing or using DocuLexis AI services, you agree to be bound by these Terms of Service and all incorporated policies. If you do not agree to these Terms, you may not access or use our services. Your use of DocuLexis AI constitutes your acceptance of these Terms in their entirety.

2. Description of Services

DocuLexis AI provides an agentic AI-powered document extraction and intelligence platform accessible via API and web interface. Our services include:

• Document ingestion and preprocessing
• Multi-modal extraction using advanced vision and language models
• Structured data output in JSON, CSV, and custom formats
• Document intelligence and automated workflow automation
• Real-time processing and batch operations
• API access, webhooks, and integration tools

3. Account Registration and Responsibilities

To use DocuLexis AI, you must register for an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activity that occurs under your account
• Ensuring only one person controls each account
• Being at least 18 years of age, or having the authority to bind your organization
• Notifying us immediately of any unauthorized access or misuse

4. Acceptable Use Policy

You agree NOT to use the DocuLexis AI platform for any unlawful or prohibited purpose. Specifically, you agree not to:

• Upload, submit, or process any illegal, malicious, or harmful content
• Attempt to reverse-engineer, decompile, or otherwise derive the underlying models or architecture
• Use the service to build, train, or improve a competing document intelligence product
• Exceed published rate limits or attempt to circumvent usage restrictions
• Attempt to circumvent, disable, or interfere with security features or access controls
• Share your API keys, account credentials, or authentication tokens with unauthorized parties
• Violate any applicable laws, regulations, or third-party rights
• Harass, abuse, or interfere with other users of the platform

5. Intellectual Property Rights

DocuLexis AI retains all rights, title, and interest in the platform, including all software, models, algorithms, user interfaces, documentation, and other materials. You retain all ownership and intellectual property rights to the documents you upload and data you submit.

We claim no intellectual property rights over your content. You grant DocuLexis AI a limited license to use your documents solely to provide the services you have requested and to improve our models and services through anonymized, aggregated analytics.

6. API Usage and Rate Limits

API access is subject to the rate limits and usage quotas specified in your subscription plan. We reserve the right to:

• Throttle or temporarily suspend API access for excessive usage that violates your plan limits
• Permanently suspend API access for repeated, intentional violations
• Adjust rate limits to ensure fair service to all users

API keys are confidential authentication credentials. You are responsible for keeping your API keys secure and not sharing them with unauthorized parties. Compromised keys must be rotated immediately.

7. Payment and Billing

Fees for paid subscription plans are billed either monthly or annually, depending on your selected plan. By subscribing to a paid plan, you authorize DocuLexis AI to charge your payment method:

• Pricing may be changed at any time with thirty (30) days written notice
• Monthly plans: no automatic refunds apply
• Annual plans: pro-rated refunds apply for cancellations within the first thirty (30) days only
• Unpaid invoices may result in suspension or termination of your account

8. Service Level Agreement

DocuLexis AI targets 99.9% uptime availability for Business and Enterprise plan users. Scheduled maintenance windows and force majeure events are excluded from uptime calculations.

Service credits may be issued for verified downtime exceeding the target SLA. Credits are the sole remedy for SLA breaches and do not constitute a refund.

9. Data Processing and Privacy

DocuLexis AI processes documents and extracted data solely to provide the contracted services. For detailed information on how we collect, process, store, and protect your data, please review our Privacy Policy.

You represent and warrant that you have all necessary rights and permissions to submit documents to our platform, and that your submission does not violate any third-party intellectual property, privacy, or other rights.

10. Warranties and Disclaimers

DocuLexis AI services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The service will meet your specific requirements or business objectives
• Extraction accuracy will reach 100%; automated systems may produce errors
• The service will be uninterrupted or error-free
• Any defects will be corrected

DocuLexis AI is not responsible for decisions, actions, or outcomes based on extracted data. We disclaim any warranty of fitness for a particular purpose.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• DocuLexis AI's total liability shall not exceed the fees you paid in the twelve (12) months preceding the claim
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• This limitation applies regardless of the form of action or the basis of the claim

12. Indemnification

You agree to indemnify, defend, and hold harmless DocuLexis AI and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the platform
• Any documents or data you submit
• Your violation of these Terms or applicable laws
• Your infringement of any third-party rights

13. Termination

Either party may terminate this agreement with thirty (30) days written notice. DocuLexis AI may suspend or terminate service immediately without notice for:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of invoices
• Suspected unauthorized or fraudulent activity

Upon termination, your account and all associated data will be deleted within thirty (30) days, except where retention is required by law.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration and Mediation Services Rules. The arbitration shall take place in Wilmington, Delaware.

15. Changes to These Terms

DocuLexis AI reserves the right to modify these Terms at any time. Material changes will be communicated with thirty (30) days advance written notice. Your continued use of the platform following such changes constitutes your acceptance of the updated Terms.
